“API Proxy Services” means the Request Rocket functionality that allows you to create, configure, and maintain API proxies, enabling routing, transformation, and analysis of API traffic between your backend services and Client Applications.
ELIGIBILITY AND ACCOUNT REGISTRATION

Eligibility
You must be at least the age of majority in your jurisdiction to use the Service. By creating an Account, you represent that you have the legal capacity to enter into this agreement. -
Account Registration
You are responsible for the accuracy and completeness of the information you provide when registering for an Account. You agree to keep this information up to date. -
Account Security
You are responsible for maintaining the confidentiality of your login credentials. You will promptly notify us of any suspected or unauthorized use of your Account.
PROVISION OF THE SERVICE

You agree to use the Service in compliance with all applicable laws, rules, and regulations in Queensland and the Commonwealth of Australia. You will not use the Service to:-

Rate Limits and Fair Use

The Receiving Party will use the Disclosing Party’s Confidential Information solely for the purpose of fulfilling its obligations under these Terms, and will protect such information with the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care. -
Exclusions
Confidential Information does not include information that is or becomes public (other than through unauthorized disclosure), is independently developed without reference to the disclosed information, or is lawfully received from a third party.

Except for the rights expressly granted to you in these Terms, all intellectual property rights related to the Service, including trademarks, logos, and software, are our exclusive property. -
Content Ownership
You retain ownership of your Content. By using the Service, you grant us a worldwide, royalty-free licence to access, store, process, and transmit your Content solely as necessary to provide the Service. -
Feedback
You may provide suggestions or ideas for improving the Service (“Feedback”). By submitting Feedback, you grant us a non-exclusive, perpetual, irrevocable, royalty-free licence to use, copy, modify, and incorporate the Feedback.

WARRANTIES AND DISCLAIMERS

Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Competition and Consumer Act 2010 (Cth) or any other applicable law that cannot be excluded, restricted, or modified by agreement. -

Each party represents and warrants that it has the necessary authority to enter into and perform under these Terms. -
Disclaimer of Warranties
To the extent permitted by law and subject to clause 9.1, the Service is provided on an “as is” and “as available” basis without warranties of any kind. We disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
LIMITATION OF LIABILITY

Exclusion of Certain Damages
To the extent permitted by law and subject to clause 9.1, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to these Terms or the Service. -
Cap on Liability
Subject to clause 9.1 and to the fullest extent permitted by law, in no event will our aggregate liability exceed the amounts paid by you to Request Rocket in the twelve (12) months immediately preceding the event giving rise to the liability.
INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Request Rocket, its affiliates, employees, and agents from from and against any claims, damages, or expenses (including reasonable legal fees) arising out of your use of the Service, your breach of these Terms, or any infringement by your Content of third-party rights.
TERM AND TERMINATION

Term
These Terms commence on the date you accept them and continue until terminated in accordance with this section. -
Termination by You
You may terminate these Terms by discontinuing use of the Service and closing your Account. -
Termination by Us
We may suspend or terminate your Account if you violate these Terms or if continued provision of the Service is not feasible for legal or operational reasons. We will make reasonable efforts to provide prior notice unless immediate termination is required by law or to protect our interests. -
Effect of Termination
Upon termination, your right to use the Service immediately ceases. Sections related to confidentiality, limitations of liability, indemnification, and disclaimers will survive termination.
GOVERNING LAW AND DISPUTE RESOLUTION

Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Queensland, and, where applicable, the laws of the Commonwealth of Australia. -
Jurisdiction
You agree to submit to the exclusive jurisdiction of the courts of Queensland, Australia to resolve any disputes arising under or in connection with these Terms. -
Alternative Dispute Resolution
Nothing in these Terms prevents either party from seeking injunctive relief or interim remedies in any court of competent jurisdiction. Where practicable, the parties agree to attempt to resolve any dispute in good faith through informal negotiation before commencing legal proceedings.
CHANGES TO TERMS
We may update these Terms from time to time. If we make material changes, we will notify you via email or by posting a notice in the Service. By continuing to use the Service after the changes become effective, you agree to the updated Terms.
GENERAL PROVISIONS

Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, reorganization, or sale of our assets. -
Entire Agreement
These Terms (including any referenced policies) constitute the entire agreement between you and us regarding the Service and supersede all prior agreements on the subject matter. -
No Waiver
Our failure to enforce any provision of these Terms will not be a waiver of that provision or any other provision. -
Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect, and the invalid or unenforceable provision will be replaced by a valid and enforceable provision that most closely matches the intent of the original. -
Force Majeure
Neither party will be liable for delays or failure in performance caused by events beyond their reasonable control, including natural disasters, wars, acts of terrorism, government actions, pandemics, or any other force majeure event.
